These Terms of Service are an agreement between you and Humam Khan, a sole proprietor doing business as HK Citadel ("HK Citadel," "I," or "me"). They apply to your use of hkcitadel.com. If you engage HK Citadel for services, these Terms apply together with any written proposal or order you accept; if the two conflict, the signed proposal or order controls.
The Services are intended for licensed insurance professionals in the United States. HK Citadel makes no representation that the Services or delivered systems are appropriate or lawful for use outside the United States.
HK Citadel provides done-for-you automation consulting, GoHighLevel system builds, workflow design, operational audits, and AI-assisted follow-up systems for licensed insurance agents and agencies.
Systems may be delivered in one of two ways, as stated in your proposal or order:
Nothing on this site or within the Services is legal, regulatory, compliance, or insurance advice. HK Citadel does not certify, warrant, or guarantee that any delivered system, template, or message complies with any law, regulation, or carrier rule. You should consult your own attorney, your carriers, and your upline regarding compliance.

You are the licensed agent operating under your own National Producer Number (NPN). You are solely responsible for ensuring that your use of any delivered system, and every message sent from it, complies with all applicable law and requirements, including:
You must review and approve all message content before it is activated. You represent that you hold all licenses, appointments, and certifications required for your activity. HK Citadel may point out risks it notices during a build, but that is not a compliance review, and HK Citadel is not responsible for how you configure, modify, add to, or operate a delivered system.
Your CRM may contain consumer information, including health information. Do not send PHI to HK Citadel, and do not grant HK Citadel access to records containing PHI, unless a HIPAA Business Associate Agreement has been separately negotiated and signed in writing. HK Citadel does not offer a BAA under these Terms. Where HK Citadel works in an account you own, it will use test or de-identified data wherever possible.
You agree to defend, indemnify, and hold harmless HK Citadel and Humam Khan from any claims, losses, fines, penalties, damages, and expenses (including reasonable attorneys' fees) arising from: your use or misuse of any delivered system; your violation of any law, regulation, or carrier rule; any modification you make to a delivered system; any breach of your representations in these Terms; and any third-party claim relating to communications sent from your account.
HK Citadel retains all rights in its methods, templates, snapshots, and workflows. You receive a non-exclusive, non-transferable license to use delivered systems in your own business. You retain ownership of your data. HK Citadel will not use your client data for any purpose other than delivering your engagement.
Snapshot delivery: the GoHighLevel account is yours. HK Citadel accesses it only with your permission and only as needed to install or support the system. You may remove HK Citadel's access at any time.
Managed sub-account: HK Citadel retains administrative access for service continuity, support, and account management. On termination, HK Citadel will provide an export of your contact data within 5 business days of your written request. HK Citadel templates and workflows are not included in the export.
Fees are stated in your proposal or order. Payment is processed by a third-party payment processor. Setup fees are non-refundable once build work begins. Monthly fees are billed in advance. If a payment is more than 7 days late, HK Citadel may suspend Services until paid. HK Citadel will give at least 30 days' notice of any change to recurring fees.
You may cancel with 30 days' written notice. No refunds are given for partial months. HK Citadel may terminate immediately for cause, including nonpayment or a violation of these Terms, or on 30 days' notice for any reason. Setup fees and prepaid fees are not refunded on termination, except as required by law.
The Services and delivered systems are provided "as is" and "as available." To the fullest extent permitted by law, HK Citadel disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and regulatory compliance. HK Citadel makes no promise of any specific business outcome, lead volume, appointment rate, or revenue.
HK Citadel is not responsible for delays or failures caused by events outside its reasonable control, including outages or changes at GoHighLevel, Anthropic, or other providers, internet or carrier failures, and changes in law or regulation.
To the fullest extent permitted by law, HK Citadel's total liability for any claim relating to these Terms or the Services is limited to the fees you paid HK Citadel in the three (3) months before the claim arose. HK Citadel is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, regulatory fines or penalties, CMS or carrier enforcement actions, or TCPA damages.
These Terms are governed by the laws of the State of Ohio. Before filing any claim, the parties will try in good faith to resolve it through mediation for 30 days. Any dispute not resolved in mediation will be settled by binding arbitration administered by the American Arbitration Association in Cuyahoga County, Ohio. Either party may seek injunctive relief in court to protect intellectual property or confidential information.
