By visiting hkcitadel.com or engaging HK Citadel's services, you ("Client," "you," or "your") agree to these Terms of Service ("Terms") with Humam Khan, doing business as HK Citadel ("HK Citadel," "I," "me," or "my"). If you do not agree to these Terms, do not use this site or engage my services.
The Services are offered to licensed insurance professionals located in the United States. The Services are not directed to residents of Canada, the European Union, the United Kingdom, or other jurisdictions, and HK Citadel makes no representation that the Services or delivered systems comply with the laws of any country other than the United States.
HK Citadel provides done-for-you automation consulting, GoHighLevel system builds, compliance workflow mapping, and AI-powered follow-up systems for licensed insurance agents and agencies (the "Services"). Specific deliverables, timelines, and pricing are confirmed at the time of individual engagement. Nothing on this site or within the Services constitutes legal, regulatory, compliance, or insurance advice.
You agree to use the Services and any delivered systems only for lawful purposes and in accordance with these Terms. You agree not to:
Systems built by HK Citadel are designed with CMS, TCPA, and CAN-SPAM compliance guardrails integrated at the workflow level. However, you are the licensed agent operating under your own National Producer Number (NPN), and you are solely and exclusively responsible for ensuring that your use of any delivered system complies with all applicable law, including:
By engaging HK Citadel's services, you represent and warrant that: (a) you hold all licenses required for the states and product lines in which you operate; (b) you will operate any delivered system in compliance with applicable law; and (c) you will not modify delivered workflows in a manner that introduces regulatory risk or removes compliance protections.
HK Citadel will flag compliance risks identified during the build process. HK Citadel cannot guarantee that your post-delivery operation, modification, or additions to delivered workflows will remain compliant, as those activities are outside HK Citadel's control.
You agree to indemnify, defend, and hold harmless Humam Khan, HK Citadel, and their respective successors and assigns from and against any and all claims, losses, damages, penalties, regulatory fines, and expenses (including reasonable attorneys' fees) arising from: (a) your misuse of any delivered system; (b) your violation of applicable law, including CMS marketing rules, TCPA, or CAN-SPAM; (c) your modification of delivered workflows in a manner that removes or circumvents compliance guardrails; (d) any representations you make to clients, prospects, or regulators regarding the Services; or (e) any third-party claims arising from your use of the Services.
HK Citadel's property: All proprietary workflow logic, compliance frameworks, system architecture, automation templates, prompt engineering, and methodology developed by HK Citadel remain the intellectual property of Humam Khan | HK Citadel, regardless of where they are delivered or hosted. Delivery of a system does not transfer ownership of the underlying methodology.
Your property: All content you provide — including your scripts, brand assets, contact lists, client records, and business data — remains your intellectual property. HK Citadel will not use your client data for any purpose other than delivering your engagement.
Automation systems are delivered as managed sub-accounts within HK Citadel's GoHighLevel agency account. HK Citadel retains administrative access to sub-account infrastructure for compliance monitoring, service continuity, and account management during the active engagement period. You retain full ownership of your contacts, client records, and business data within the sub-account.
Upon termination: HK Citadel will provide a complete export of your contacts and business data within five (5) business days of final payment resolution. HK Citadel's proprietary workflow templates, automation logic, and system architecture will not be included in the data export. Sub-account access will be suspended upon termination.
All fees are in U.S. dollars and are processed through a secure third-party payment processor. Setup fees are due prior to build commencement and are non-refundable once build work has begun. "Build work" is defined as sub-account provisioning, which occurs within one (1) business day of receipt of your setup payment.
Monthly service fees are due on the same calendar date each month as the engagement start date. A seven (7) day grace period applies. Non-payment beyond the grace period may result in suspension of sub-account access. Non-payment beyond thirty (30) days may result in termination of services without further notice.
Fee changes: HK Citadel reserves the right to adjust monthly service fees with thirty (30) days' written notice by email to active clients. You may terminate your engagement before the new pricing takes effect without early termination penalty.
By you: You may terminate services at any time with thirty (30) days' written notice to [email protected]. No refunds are issued for partial months already billed.
By HK Citadel: HK Citadel may terminate services immediately and without notice for non-payment beyond the grace period, material breach of these Terms, misuse of delivered systems, or violation of applicable law using HK Citadel's infrastructure. HK Citadel may terminate for any other reason with thirty (30) days' written notice by email.
Effect of termination: Sub-account access will be suspended upon termination. A contact and data export will be provided within five (5) business days of final payment resolution, as described under "GoHighLevel Sub-Account Structure" above. No refund of setup fees or prepaid monthly fees will be issued.
Automation systems and marketing workflows are tools, not guarantees. Results depend on your market, carrier relationships, lead sources, compliance with applicable law, and how you operate and maintain delivered systems after delivery. HK Citadel makes no warranty — express or implied — of specific business outcomes, lead volume, appointment rates, revenue results, or continued compliance following any client modification of delivered systems.
HK Citadel is not liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including but not limited to: GoHighLevel platform outages or policy changes; modifications to Anthropic's Claude API terms or availability; CMS regulatory changes requiring system modification; carrier guideline changes; acts of God; or any other event outside HK Citadel's reasonable control. HK Citadel will notify you promptly of any such event affecting your engagement and will resume performance as soon as reasonably practicable.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HK CITADEL'S TOTAL CUMULATIVE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO HK CITADEL IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE CLAIM.
IN NO EVENT SHALL HK CITADEL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, REGULATORY FINES, CMS ENFORCEMENT ACTIONS, TCPA PENALTIES, OR BUSINESS INTERRUPTION, EVEN IF HK CITADEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-law principles. Any dispute arising under or related to these Terms that cannot be resolved informally by direct communication shall first be submitted to good-faith mediation for a period of thirty (30) days. If mediation fails to resolve the dispute, the matter shall be submitted to binding arbitration in Cuyahoga County, Ohio, under the Commercial Arbitration Rules of the American Arbitration Association. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction without first submitting to mediation or arbitration.
These Terms, together with any written engagement agreement specific to your project, constitute the entire agreement between you and HK Citadel with respect to the Services, and supersede all prior or contemporaneous agreements, representations, negotiations, and understandings, whether written or oral.
If any provision of these Terms is found by a court or arbitrator to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall otherwise continue in full force and effect.
The failure of HK Citadel to enforce any right or provision of these Terms on any occasion shall not be deemed a waiver of that right or provision, nor shall it prevent HK Citadel from enforcing such right or provision on any future occasion.
HK Citadel may update these Terms from time to time. The "Last Updated" date at the top reflects the most recent revision. Material changes will be communicated to active clients by email with at least fourteen (14) days' advance notice. Continued use of the site or services after changes take effect constitutes acceptance of the updated Terms.
